Trade secrets and other confidential information give an organization an edge against its competition. In this age of strict privacy legislation, the incentive to protect all confidential information is that much greater. Non-disclosure agreements (also known as confidentiality agreements) prohibit the communication of certain non-public business information by individuals.

The purpose of this template is to provide a structure for documenting a confidentiality and non-disclosure agreement with an employee or contractor. Apply it to employees, consultants and contractors, or business partners. In the event of provable disclosure of protected information, the enterprise can seek damages in a court of law.
