A non-compete agreement is typically invoked to protect an organization’s client base and intellectual property against inappropriate use by a former employee or contractor. They typically prohibit an individual from working for a competitor for a specific period of time after employment ends. If the agreement is violated, the enterprise can typically pursue both the individual and the new employer for damages.

Use this template to provide a structure for a document that specifies the details of non-competition. Be aware, however, that non-competes are increasingly not recognized in the courts since they can effectively bar an individual from gainful employment.
